These Payment Terms govern all payment transactions conducted through the TalentGrid platform operated by Talent Grid Limited (NZBN: 9429051450724) ("TalentGrid", "we", "us", or "our"). These terms apply to both Contractors providing services and Facilities engaging services through the platform.
"Contractor" means a healthcare worker registered on the platform providing services as an independent contractor.
"Facility" means a healthcare organisation engaging Contractor services through the platform.
"Platform Fee" means the service fee charged by TalentGrid for use of the platform.
"Shift" means a period of work agreed between a Contractor and Facility through the platform.
"Shift Rate" means the agreed hourly or fixed rate for a Shift.
3. Contractor Payments
3.1 Payment Structure
Contractors are paid directly by TalentGrid for completed Shifts
Payment is calculated based on the agreed Shift Rate and actual hours worked, less the applicable platform fee (as agreed individually during account onboarding)
The Shift Rate shown to a Contractor on the Platform is their rate — the platform fee is deducted from this amount before payment
Contractors must submit accurate timesheet information for each completed Shift
Payment amounts are exclusive of GST (GST will be added where applicable)
3.2 Payment Schedule
Payments are processed on a fortnightly basis
Payment cycles run from Monday to Sunday (two-week periods)
Payments are made within 5 business days following the end of each payment cycle
Contractors must have valid banking details on file to receive payments
3.3 Payment Method
Payments are made via direct bank transfer to the Contractor's nominated New Zealand bank account
It is the Contractor's responsibility to provide and maintain accurate banking information
TalentGrid is not liable for payment delays or errors caused by incorrect banking details
3.4 Tax and Compliance
Contractors are responsible for their own tax obligations, including income tax and ACC levies
GST-registered Contractors must provide a valid GST number and invoice TalentGrid including GST
TalentGrid will provide payment summaries to assist with tax return preparation
Contractors must ensure compliance with New Zealand tax law and maintain appropriate records
4. Facility Payments
4.1 Minimum Shift Requirements
All Shifts must be for a minimum duration of 4 hours
Shifts shorter than 4 hours will be invoiced at the 4-hour minimum rate
4.2 Invoicing
Facilities are invoiced weekly by default for all Shifts completed during that period. Fortnightly or monthly invoicing is available only by arrangement with TalentGrid administration.
Invoices include the Contractor's Shift Rate plus the TalentGrid service fee (as agreed in the Facility's account terms)
All invoices include GST as required by New Zealand law
Invoices are sent electronically to the Facility's nominated email address
4.3 Payment Due Date
Payment is due within 7 days of the invoice date
Payment must be made via bank transfer to TalentGrid's nominated bank account
Payment reference must include the invoice number for proper allocation
4.4 Shift Cancellation Fees
If a Shift is cancelled between 1-3 hours before the commencement of the Shift, a 2-hour cancellation fee will apply
If a Shift is cancelled less than 1 hour prior to the Shift commencement, full Shift rates will be applicable
Cancellation fees are invoiced to the Facility and paid to the Contractor as compensation
Overdue invoices may incur a late payment fee of 2% per month on the outstanding amount
Facilities with overdue invoices may have platform access restricted until payment is received
TalentGrid reserves the right to engage debt collection services for seriously overdue accounts
The Facility is responsible for all reasonable costs incurred in recovering overdue payments
4.6 Disputed Invoices
Invoice disputes must be raised within 7 days of invoice date
Disputed amounts must be clearly identified with supporting documentation
Undisputed portions of invoices must be paid by the due date
TalentGrid will investigate disputes and respond within 10 business days
5. Platform Fees
5.1 Fee Structure
Facility service fee: A platform service fee charged to the Facility, as agreed individually during account onboarding. This fee is confirmed before each shift is finalised.
Contractor platform fee: A platform fee deducted from the Contractor's Shift Rate, as agreed individually during account onboarding
All fees are shown clearly before any shift is confirmed
All fees are exclusive of GST (GST will be added)
5.2 Fee Changes
TalentGrid reserves the right to modify Platform Fee rates with 30 days notice
Fee changes will be communicated via email and platform notifications
Shifts booked before a fee change takes effect will be charged at the previous rate
6. Shift Cancellations and Refunds
Shift cancellations are governed by our Cancellation Policy. Payment and refund arrangements depend on the timing and circumstances of cancellation:
Cancellations made within the notice period may incur cancellation fees
Contractors may be entitled to payment for cancellations made within certain timeframes
Refunds for Facility overpayments will be processed within 10 business days
7. Payment Disputes
Payment disputes should be raised with TalentGrid within 14 days of the payment or invoice date
All disputes must be submitted in writing with supporting evidence
TalentGrid will investigate and respond to disputes within 10 business days
Unresolved disputes may be escalated through our Dispute Resolution process
8. Currency and Exchange Rates
All payments are processed in New Zealand Dollars (NZD)
Shift Rates and Platform Fees are quoted in NZD
International transactions are not currently supported
9. Payment Security
All payment data is transmitted securely using industry-standard encryption
Banking details are stored securely and never shared with third parties except as necessary to process payments
TalentGrid complies with New Zealand privacy and data security requirements
Users can access payment history and invoices through their platform account
TalentGrid maintains payment records for 7 years as required by New Zealand law
Annual payment summaries are provided to Contractors for tax purposes
Facilities receive monthly statements summarizing all platform activity and charges
11. Changes to Payment Terms
TalentGrid may update these Payment Terms from time to time. Material changes will be communicated via email and platform notifications at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Payment Terms.
